1. Acceptance
Every quote, order, purchase order, sale, invoice, delivery, certificate, service, supply, commercial communication or relationship with NAT MAC, S.A. DE C.V. (hereinafter "NAT MAC") shall be governed by these Terms and Conditions.
Accepting a quote, issuing a purchase order, confirming an order, making full or partial payment, receiving goods, requesting an invoice or using the website implies acceptance of these Terms.
Any different condition proposed by the customer, supplier or third party shall not be valid unless expressly accepted in writing by NAT MAC.
2. Nature of NAT MAC
NAT MAC is a distributor and reseller of industrial products. Unless expressly agreed in writing, NAT MAC is not the original manufacturer of the materials, equipment or products it sells.
Available technical information and documentation are provided as commercial support.
3. Quotes
Quotes issued by NAT MAC are for informational and reference purposes only, do not constitute a binding offer or obligate NAT MAC to contract, and are subject at all times to stock availability, price confirmation, credit approval, technical validation, payment terms and acceptance of these Terms.
Prices, lead times, availability and other conditions may be changed at any time and without prior notice, even within the validity period, until the order is confirmed, invoiced and paid in full by the customer. NAT MAC shall not be obligated to honor any previously quoted price, stock or condition.
Unless a different validity period is expressly stated in writing, quotes are valid for a maximum of 5 business days and expire automatically at the end of that period, with no liability for NAT MAC. Any typographical, arithmetic, data-entry, system or exchange-rate error contained in a quote is not binding on NAT MAC and may be corrected at any time.
4. Currency, exchange rate and taxes
Prices in foreign currency may be paid in that currency or in Mexican pesos at the exchange rate published by the Diario Oficial de la Federación on the date of payment, unless otherwise agreed in writing.
Prices do not include VAT, freight, handling, insurance, special packaging, additional certifications, testing, storage, duties, permits, bank fees or other costs not expressly stated.
5. Order confirmation
An order shall be considered accepted only once NAT MAC confirms it.
NAT MAC may require a purchase order, down payment, full payment, credit approval, technical validation, correct tax information or any other necessary document.
NAT MAC may cancel or reject orders due to lack of availability, pricing error, non-payment, credit risk, logistical impossibility, legal restrictions, force majeure or any other justified cause.
6. Payments, credit and collections
Payment terms shall be those stated in the corresponding quote, invoice, sales order or agreement.
No payment shall be considered made until the funds are actually available in NAT MAC's account.
Trade credit is discretionary and may be suspended, reduced or canceled due to late payments, breaches, missing documentation, credit risk or NAT MAC's internal criteria.
In the event of late payment, NAT MAC may charge late-payment interest, collection expenses, legal fees and administrative costs, as well as suspend deliveries, cancel orders, require advance payment or take legal action.
7. Deliveries and transfer of risk
Lead times are estimates and may vary due to availability, production, logistics, payments, suppliers, imports, transportation, customs, permits, force majeure or causes beyond NAT MAC's control.
Risk in the goods passes to the customer upon delivery to the customer, carrier, courier, logistics operator or person authorized to receive them, unless otherwise agreed in writing.
The customer must inspect the goods upon receipt and report any discrepancy immediately.
Lead times are not guaranteed and are offered only as estimates. NAT MAC shall not be liable for delays or for any damages, expenses, penalties, loss of production or loss of profit arising from them, and no delay shall entitle the customer to cancel the order, withhold payment or claim compensation.
8. Customer pickup and storage
When the condition is "customer pickup", the customer is responsible for providing suitable transportation, personnel, loading equipment, tie-downs, handling and the necessary safety measures.
If the customer does not pick up the goods within the agreed period, NAT MAC may charge storage, handling, price updates, administrative expenses or any other costs incurred.
NAT MAC shall not be liable for deterioration, rust, contamination or damage resulting from prolonged storage for reasons attributable to the customer.
9. Weights, dimensions and tolerances
Stated weights, measurements, kilograms, feet, meters, dimensions, quantities or yields may be theoretical or approximate and subject to commercial, industrial or manufacturer tolerances, cutting, scrap, density, scale, unit conversion or rounding.
The final amount may be adjusted according to the actual weight, actual quantity or unit actually supplied, unless otherwise agreed in writing.
10. Cutting and processing services
Band saw cutting, CNC oxy-fuel cutting, CNC plasma cutting, CNC waterjet cutting and other process services are subject to technical capacity, availability, material, geometry, thickness, drawings, tolerances, customer instructions and safety conditions.
The customer is responsible for providing correct specifications. NAT MAC shall not be liable for errors arising from incomplete, incorrect or ambiguous drawings, dimensions, files or instructions provided by the customer.
Any cutting process may produce material loss, burrs, slag, clamping marks, a heat-affected zone, dimensional variation, surface roughness, distortion or other effects inherent to the process used.
11. Limitation of liability for quality
The material may be of certified quality; however, by its nature it may have internal discontinuities, inclusions, cracks, porosity, segregation, variations, or conditions that cannot always be detected by ordinary inspection.
In the event of a verifiable defect attributable to material supplied by NAT MAC, NAT MAC's liability shall be limited, at NAT MAC's option, to replacement of the affected material, an equivalent substitute, a credit or application of the corresponding balance.
NAT MAC shall not be liable for machining, broken tools, damage to machinery, labor, freight, handling, rework, treatments, line stoppages, lost production, lost profits, penalties, indirect or consequential damages, or third-party claims.
12. Claims
Any claim regarding quality, quantity, delivery or documentation must be submitted in writing within 5 business days of receipt of the goods or service.
The claim must include the related invoice, quote or order, a description of the problem, photographic or documentary evidence, lot, heat number, certificate or customs entry where applicable, affected quantity and storage or use conditions.
No claims will be accepted once the product has been cut, machined, transformed, used, installed, mixed, contaminated, treated, altered or incorporated into a process without prior authorization from NAT MAC.
Claims will also not be accepted when the damage results from handling, storage, transportation, humidity, rust, improper use, incorrect customer specification or normal industry tolerances.
13. Changes, cancellations and returns
No exchanges or returns are accepted once the order has been filled, except with express written authorization from NAT MAC.
The following are non-cancellable and non-returnable: special products, items imported to order, cut-to-size, processed, customized, non-standard or slow-moving products, opened or contaminated lubricants, used tools, installed equipment or altered products.
If NAT MAC authorizes a return, it may apply charges for inspection, freight, handling, reconditioning, price difference, penalties or administrative expenses.
14. Warranties
Applicable warranties shall be those granted by the original manufacturer or supplier, where they exist.
NAT MAC makes no additional warranties regarding performance, service life, productivity, compatibility, merchantability or fitness for a particular purpose, unless expressly agreed in writing.
NAT MAC technical recommendations are issued in good faith and based on available information; the customer must perform their own tests and validations before using the product in their process.
15. Purchase orders issued by NAT MAC
Every purchase order issued by NAT MAC must be filled exactly as requested.
No changes to price, material, specifications, quantities, origin, documentation, terms or delivery will be accepted without prior written authorization from NAT MAC.
The supplier must deliver the goods or services complete, with no shortages or overages, accompanied by the invoice, certificates, data sheets, quality, origin and compliance documents, and any other document requested.
The supplier shall be liable for damages, costs, fines, rejections, delays, customs expenses, penalties or claims arising from breach, defects, false information, incorrect documentation or non-conforming deliveries.
16. Imports, permits and foreign trade
In domestic or international transactions, the parties must provide complete and accurate information on description, composition, tariff classification, origin, certificates, permits, data sheets, safety data sheets, regulations and applicable documents.
NAT MAC shall not be liable for delays, fines, rejections, holds, storage charges, demurrage, corrections, changes in government criteria or costs arising from incorrect, incomplete or late information provided by customers, suppliers, manufacturers, customs brokers, carriers or third parties.
17. Force majeure
NAT MAC shall not be liable for delays or non-performance caused by events beyond its control, including natural disasters, fire, blockades, labor disputes, transportation failures, raw material shortages, supplier failures, port closures, acts of government, import/export restrictions, regulatory changes, technology failures, cyberattacks, pandemics, war, civil unrest or similar events.
18. Confidentiality and intellectual property
Technical, commercial, financial, tax, pricing, customer, supplier, drawing, certificate, process or documentation information exchanged between the parties shall be treated as confidential when by its nature it should be considered as such.
NAT MAC's trademarks, logos, text, images, catalogs, data sheets, designs, databases and content are the property of NAT MAC or are used with the authorization of their owners.
They may not be copied or used without prior written authorization.
19. Use of the website
The content of the NAT MAC website is for informational purposes and may be changed without prior notice.
NAT MAC strives to keep information up to date, but does not guarantee that it is entirely free of errors or omissions.
The user agrees to use the site lawfully and not to damage systems, breach security, copy content without authorization, submit false information or perform acts that harm NAT MAC or third parties.
20. Maximum liability
To the fullest extent permitted by law, NAT MAC's total liability for any claim arising from a sale, purchase, product, service, delivery, certificate, invoice or business relationship shall be limited, at NAT MAC's option, to replacement of the product or service or to the amount actually paid by the customer for the product or service directly related to the claim.
In no event shall NAT MAC be liable for indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, production, business opportunities, contracts, savings, customers, goodwill or data, even if advised of the possibility of such damages. This limitation applies to every claim, whether in contract, tort, negligence, strict liability or any other legal theory.
21. Governing law and jurisdiction
These Terms shall be governed by the laws of the United Mexican States.
For any dispute, the parties submit to the competent courts of the State of Mexico or Mexico City, at NAT MAC's election, waiving any other jurisdiction to which they may be entitled.
22. Amendments
NAT MAC may modify these Terms and Conditions at any time.
The current version will be available at www.nat-mac.com.mx/terminos-y-condiciones and will apply to transactions entered into from the date of its publication or acceptance.
